NOTICE OF TRUSTEE'S SALE

WHEREAS, default has occurred in the performance of the covenants, terms, and conditions of a Deed of Trust Note dated August 29, 2012, and the Deed of Trust of even date securing the same, recorded August 31, 2012, in Book No. 29, at Page 6432, in Office of the Register of Deeds for Hickman County, Tennessee, executed by Tonya L. REPORT OF THE DIRECTOR OF THE OFFICE OF STATE AND LOCAL FINANCE REGARDING THE ISSUANCE BY BON AQUA-LYLES UTILITY DISTRICT OF ITS

REVENUE REFUNDING BONDS, SERIES 2015

Pursuant to the requirements of T.C.A. § 7-82-501, the Director of the Office of State and Local Finance has reviewed a plan of finance (the “Plan”) prepared by Bon Aqua-Lyles Utility District (the “District”) with the assistance of its financial advisor, Cumberland Securities Company, Inc. (“CSC”), for the issuance of an amount not to exceed $2,010,000 Revenue Refunding Bonds, Series 2015 (the “Series 2015 Bonds”). The District expects to use the proceeds of the Series 2015 Bonds to refund $1,908,924 Waterworks Revenue Bonds, Series 1998 (the “Refunded Bonds”).

The financial information received with the District’s Plan includes the assertions of the District and may not reflect the current or future financial condition of the District or reflect either current market conditions or market conditions at the time of sale. The Bonds may be structured in a different manner than proposed—priced at a premium, discount, or with a different principal payment structure.

Balloon Indebtedness

The structure of the Bonds presented in the Plan does not appear to be balloon indebtedness. If the Bonds’ structure is revised, the District should determine if the new structure complies with the requirements of T.C.A § 9-21-134 concerning balloon indebtedness. If it is determined that the bond structure constitutes balloon indebtedness, the District must submit a Plan of Balloon Indebtedness to the Director of the Office of State and Local Finance for approval prior to the District adopting the resolution authorizing the issuance of the debt.

Analysis of the Series 2015 Bonds

-- An estimated $1,980,000 Series 2015 Bonds will be sold by competitive sale and priced at par.

-- Estimated net present value savings for the Series 2015 Bonds is $251,006, or 13.15% of the refunded principal.

-- The final maturity of the Series 2015 Bonds does not extend beyond the final maturity of the Refunded Bonds.

-- The cost of issuance of the Series 2015 Bonds is $70,326 or $35.52 per $1,000 of par amount of the Bonds. See Table 1 for individual costs of issuance.

Financial Information for the Year Ending August 31, 2014

For the fiscal year ending August 31, 2014, the District’s operating income was $68,505. The District posted a decrease in net position of $62,573 for the year from $5,689,693 on August 31, 2013 to $5,627,120 on August 31, 2014. Debt service payments were $437,539 consisting of principal payments of $291,526 and interest payments of $146,013.

The District reported Cumberland Securities Company, Inc. as its financial advisor in this transaction. Financial advisors have a fiduciary responsibility to you, the issuer. Underwriters have no fiduciary responsibility to you. They represent the interests of their firm.
